1. Introduction and Acceptance

Welcome to M3T Data Management Services ("M3T," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, services, and any related products or offerings (collectively, the "Services").

By accessing our website or engaging our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services. These Terms constitute a legally binding agreement between you (the "Client," "User," or "you") and M3T Data Management Services.

2. Definitions

  • "Services" refers to all market research, data management, field operations, quantitative and qualitative studies, retail audits, mystery shopping, data processing, and related services provided by M3T.
  • "Client" refers to any individual, business, or organization that engages M3T for Services.
  • "Research Participant" refers to individuals who participate in surveys, interviews, focus group discussions, or other research activities conducted by M3T.
  • "Confidential Information" refers to all proprietary data, methodologies, findings, and materials exchanged between M3T and the Client.
  • "Deliverables" refers to reports, data, analysis, and other work products provided by M3T to the Client.

3. Services Provided

M3T provides professional market research and data management services, including but not limited to:

  • Quantitative Research (surveys, product tests, usage and attitude studies, political surveys)
  • Qualitative Research (focus group discussions, in-depth interviews, ethnographic studies)
  • Retail Studies (retail audits, store checking, census mapping)
  • Mystery Shopping and customer experience evaluation
  • Data Processing, coding, and analysis
  • Traffic Count and footfall analysis
  • Market Mapping and competitor analysis

All Services are subject to specific project agreements, proposals, and scope of work documents that will detail timelines, deliverables, and pricing.

4. Client Obligations and Responsibilities

4.1 Information Provision

Clients agree to provide accurate, complete, and timely information necessary for M3T to deliver the Services. This includes research objectives, target audience specifications, questionnaires, product samples, and any other relevant materials.

4.2 Approvals and Feedback

Clients must review and approve research instruments, methodologies, and deliverables within agreed timelines. Delays in client approval may result in project timeline extensions.

4.3 Legal Compliance

Clients warrant that their use of our Services complies with all applicable laws and regulations, including consumer protection, advertising standards, and data privacy laws.

5. Payment Terms and Pricing

5.1 Fees and Invoicing

Service fees are specified in individual project proposals or service agreements. M3T will issue invoices according to the payment schedule agreed upon. All prices are in Philippine Peso (PHP) unless otherwise stated.

5.2 Payment Schedule

Unless otherwise agreed, standard payment terms are:

  • 50% deposit upon project commencement
  • 50% balance upon delivery of final deliverables
  • Payment due within 30 days of invoice date

5.3 Late Payment

Overdue payments may incur interest at the rate of 2% per month or the maximum allowed by law, whichever is lower. M3T reserves the right to suspend Services for accounts with outstanding balances exceeding 30 days.

5.4 Additional Costs

Any expenses beyond the agreed scope (such as additional fieldwork, extended analysis, or rush requests) will be billed separately upon client approval.

6. Intellectual Property Rights

6.1 Ownership of Deliverables

Upon full payment, the Client owns the final research findings and reports provided as Deliverables. However, M3T retains ownership of all methodologies, tools, templates, and proprietary processes used in delivering the Services.

6.2 Use of Findings

Clients may use the research findings for internal business purposes. Any public disclosure, publication, or media use of M3T's research findings requires prior written consent from M3T.

6.3 M3T Portfolio Rights

M3T may use anonymized, aggregated project information for portfolio purposes, case studies, or marketing materials, provided no client-specific confidential information is disclosed.

7. Confidentiality and Data Protection

7.1 Mutual Confidentiality

Both parties agree to maintain the confidentiality of all Confidential Information exchanged during the course of the engagement. This obligation survives the termination of the service agreement.

7.2 Research Participant Privacy

M3T complies with the Data Privacy Act of 2012 (RA 10173) and maintains strict confidentiality of research participant information. Individual responses are anonymized in reports unless explicit consent for identification has been obtained.

7.3 Data Security

M3T implements appropriate technical and organizational measures to protect data from unauthorized access, loss, or disclosure. For detailed information, please refer to our Privacy Policy.

8. Service Quality and Warranties

8.1 Professional Standards

M3T warrants that all Services will be performed with professional skill, care, and diligence in accordance with industry standards and best practices.

8.2 Data Accuracy

While M3T employs rigorous quality control measures, we cannot guarantee 100% accuracy of all data points. We commit to maintaining quality standards that meet or exceed industry norms for the research methodology employed.

8.3 No Business Outcome Guarantee

M3T provides research and data services but does not guarantee specific business outcomes, sales results, or strategic success based on our findings. Research findings represent conditions at the time of data collection.

9. Limitation of Liability

9.1 Liability Cap

To the maximum extent permitted by Philippine law, M3T's total liability for any claims arising from or related to the Services shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

9.2 Exclusion of Consequential Damages

M3T shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, business opportunities, or data, even if advised of the possibility of such damages.

9.3 Force Majeure

M3T shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, pandemics, civil unrest, government actions, or technical failures.

10. Termination

10.1 Termination by Client

Clients may terminate a project with written notice. The Client remains liable for all work completed up to the termination date, plus any non-cancellable commitments made on the Client's behalf.

10.2 Termination by M3T

M3T may terminate the service agreement if:

  • The Client fails to make payment within 60 days of the due date
  • The Client materially breaches these Terms
  • The Client requests services that are illegal, unethical, or violate professional standards

10.3 Effects of Termination

Upon termination, M3T will provide all completed work and raw data collected up to that point (subject to full payment). Confidentiality obligations continue after termination.

11. Indemnification

The Client agrees to indemnify, defend, and hold harmless M3T, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) the Client's use of research findings, (b) violation of these Terms, (c) infringement of intellectual property rights, or (d) any misrepresentation or breach of warranty by the Client.

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

12.2 Dispute Resolution Process

In the event of any dispute arising from these Terms or the Services:

  • Step 1 - Good Faith Negotiation: Parties agree to first attempt to resolve disputes through good faith negotiations
  • Step 2 - Mediation: If negotiation fails, parties agree to mediation before a mutually agreed mediator
  • Step 3 - Arbitration: If mediation is unsuccessful, disputes shall be resolved through binding arbitration in accordance with the rules of the Philippine Dispute Resolution Center, Inc.

12.3 Venue

Any legal proceedings shall be conducted in Pasig City, Metro Manila, Philippines.

13. Website Use and Restrictions

13.1 Acceptable Use

You agree to use our website only for lawful purposes and in accordance with these Terms. You may not:

  • Attempt to gain unauthorized access to our systems or networks
  • Use any automated systems to scrape, data mine, or extract content
  • Transmit viruses, malware, or other harmful code
  • Impersonate M3T or any other person or entity
  • Interfere with the proper functioning of the website

13.2 User-Generated Content

Any content you submit through our website (such as contact forms or chat messages) grants M3T the right to use such content for the purpose of responding to your inquiry and improving our Services.

14. Third-Party Links and Services

Our website may contain links to third-party websites or services. M3T is not responsible for the content, privacy practices, or terms of use of these external sites. Access to third-party sites is at your own risk.

15. Modifications to Terms

M3T reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Material changes will be communicated to active Clients via email. Continued use of our Services after modifications constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall remain in full force and effect.

17. Entire Agreement

These Terms, together with any project-specific agreements and our Privacy Policy, constitute the entire agreement between you and M3T regarding the use of our Services and supersede all prior communications and proposals.
